TERMS OF COOPERATION WITH CORPORATE CLIENTS
Purpose and Scope
The purpose of entering into a Subscription Agreement between the Portal and a Corporate Client (a real estate agency or other legal entity) is to grant the Corporate Client access to an extended set of corporate tools of the Portal, intended for structured team-based operations and not available under a standard individual broker subscription.
By executing the Subscription Agreement, the Corporate Client is entitled to use the Portal as part of its internal operational infrastructure, enabling centralized user management, a unified standard of broker activity, and a scalable team onboarding model.
Under the corporate subscription, the Corporate Client shall be entitled, inter alia, to:
centralized management of users and access rights within the organization;
a unified corporate billing model for team usage;
branded (white-label) presentations and client-facing materials;
corporate PDF presentations and property selections with a unified communication standard;
analytics and tools for monitoring team activity;
extended functionality for managing and publishing corporate content;
flexible scaling of user seats without individual subscription agreements.
These Terms of Cooperation together with the Subscription Agreement govern the procedures for onboarding, use of the Portal, payment terms, and compliance with Portal rules and policies by all users of the Corporate Client.
1. General Cooperation Model
Cooperation format: Subscription-based model
Agreement type: Framework Subscription Agreement
Initial term: 12 (twelve) months
Renewal: Automatic renewal for subsequent 12-month periods
Legal basis: Duly executed Subscription Agreement
2. Commencement of Cooperation and Commercial Terms
During negotiations with the Corporate Client, the following terms shall be agreed upon:
subscription plan;
number of users / access licenses;
billing format:
monthly;
quarterly;
annual;
applicable discounts (see Section 6).
All agreed commercial terms shall be documented in the Subscription Agreement and/or its appendices.
3. Trial Period
3.1 Legal Structure of the Trial
The trial period shall be granted and structured as follows:
the Subscription Agreement is executed by the Parties at the outset;
the Effective Date of the Agreement is set 14 (fourteen) calendar days after the actual commencement of access to the Portal;
the period between initial access and the Effective Date shall be deemed the Trial Period.
3.2 Trial Period Conditions
During the Trial Period:
the Corporate Client is granted full access to the Portal;
the Corporate Client may, at any time prior to the Effective Date, terminate further cooperation by providing written notice to the Portal.
3.3 Termination During the Trial
If termination occurs prior to the Effective Date:
the Subscription Agreement shall be deemed not to have entered into force;
no financial obligations shall arise for the Corporate Client;
no payments shall be due and no invoices shall be issued.
4. Execution and Entry into Force
the Subscription Agreement may be executed:
in hard copy; or
by exchange of duly signed scanned copies;
execution in counterparts is permitted;
each counterpart shall be deemed an original.
The Agreement shall enter into force on the Effective Date, which coincides with the end of the Trial Period and the commencement of paid services.
5. Billing and Payment
5.1 Billing Period
Available billing periods are:
1 (one) month;
3 (three) months (quarterly);
12 (twelve) months (annually).
The first Billing Period shall commence on the date of issuance of the first invoice, which shall be issued after the Effective Date.
5.2 Payment Terms
services are provided on a 100% prepayment basis;
payment shall be made against issued invoices;
payments shall be made to the Portal’s designated bank account.
In the event of late or incomplete payment, the Portal reserves the right to suspend the provision of services until full payment is received.
6. Discount Policy
Discounts are granted exclusively in case of prepayment and depend on the selected billing period:

discounts are not cumulative;
discounts apply only to the relevant Billing Period;
if the billing format is changed, the discount shall apply starting from the new Billing Period.
7. Changes to Subscription Plan
7.1 General Provisions
Any change to the subscription plan shall be made at the request of the Corporate Client and shall enter into effect in accordance with the Subscription Agreement. All recalculations and additional invoicing shall be performed by the Portal.
7.2 Upgrade
upgrades may be requested during the current Billing Period;
subscription fees shall be recalculated;
an additional invoice shall be issued on a pro-rata basis for the remaining days of the current Billing Period.
7.3 Downgrade
downgrades shall take effect starting from the next paid Billing Period;
any overpayment shall be credited toward future payments;
refunds are available only upon written request of the Corporate Client.
8. Liability and Sanctions
No monetary penalties, fines, or liquidated damages shall apply under this cooperation.
8.1 Suspension of Services
In the event of non-payment or breach of the Subscription Agreement, the Portal may suspend services without any obligation to compensate the Corporate Client.
8.2 Termination Without Refund
In case of material breach, unlawful use of the Portal, or use in violation of applicable law, the Portal may:
immediately terminate the Corporate Client’s access;
retain all amounts previously paid, without refund.
8.3 Refusal of Further Service
In case of material breach, the Portal may refuse to provide services in the future, including refusal to renew access or enter into a new agreement.
8.4 Limitation of Liability
The Portal shall not be liable for:
accuracy or completeness of data;
any losses incurred by the Corporate Client;
consequences arising from the use of the Portal.
9. Term and Termination
9.1 Term
The Subscription Agreement is concluded for a term of 12 (twelve) months.
9.2 Automatic Renewal
The Agreement shall be automatically renewed for subsequent 12-month terms unless either Party provides notice of termination at least 1 (one) month prior to the expiration of the current term.
9.3 Early Termination
No special early termination rights apply to annual or quarterly subscriptions.
If the Agreement is terminated at the initiative of the Corporate Client after the Effective Date:
all amounts paid shall be non-refundable;
no recalculation for unused periods shall be made.
10. Confidentiality
The following shall be deemed confidential and shall not be disclosed to third parties without mutual consent:
the terms of the Subscription Agreement;
the fact of cooperation itself.
11. Governing Law
The Subscription Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE).
12. Service Rules and Applicable Policies
The Corporate Client and all its authorized users shall comply with:
the Portal’s Terms of Service;
Privacy Policy;
Cookie Policy;
any other applicable rules and policies published by the Portal.
Use of the Portal constitutes full and unconditional acceptance of the above policies.
The Corporate Client is responsible for ensuring that all its users are informed of and comply with such policies.
